Thank you for being part of Membership U! Membership U is a campus of learning and community built for and with membership professionals. Membership U provides access to courses, coaching, resources, certification, awards, and community discussion boards. It is the go-to resource for accessing best practices in membership strategy.
Members are asked to agree to the following terms to ensure Membership U remains a safe space to discuss topics and share information related to membership.
1) Agreement & Acceptance
These Terms & Conditions (the “Terms”) govern access to and use of the membership services, online community, training resources, and online events (collectively, the “Services”) provided by Membership U, a division of XYZ University LLC. By creating an account, clicking “I agree,” or accessing the Services, the individual or entity Member(s) accepts these Terms and the documents incorporated by reference (Privacy Policy, DMCA Policy, and the Community Standards in Appendix A).
2) Eligibility
2.1 Eligibility. The Services are offered exclusively to membership professionals (e.g., those working in association/chamber membership, member engagement/retention, or similar roles). By joining, you represent that you are a membership professional. Individuals who are not membership professionals may be removed and are not eligible for refunds (see §8.6).
2.2 Territories. The Services are offered globally except where prohibited by law.
3) Accounts & Security
3.1 Account Registration. You must provide accurate information and keep it updated. One account per person; you may not share credentials.
3.2 Security. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately at hello@membershipu.com of any suspected unauthorized use.
3.3 Third-Party Platform. The Services are delivered via the Membership U Platform (the “Platform”). Your use of the Platform is also subject to the Platform’s own terms and policies. In case of conflict, those terms govern Platform operations; these Terms govern your relationship with Provider regarding the Services.
4) Membership Scope & Benefits
4.1 Included Benefits. Membership may include access to: (a) an online community; (b) training resources (courses, videos, templates, downloads); (c) online events (live sessions, replays); and (d) other benefits described at purchase.
4.2 Changes. We may modify, add, or remove features or content. If we materially reduce core benefits, we will provide notice and a proârata remedy where required by law.
5) Acceptable Use; Moderation
5.1 Prohibited Conduct. You agree not to harass, bully, dox, or threaten others; engage in hate speech or discriminatory content; incite or glorify violence; post illegal, infringing, or obscene content; spam or solicit; scrape or reverse engineer; or circumvent access controls.
5.2 Zero Tolerance. We maintain zero tolerance for violence and hate speech. Violations may result in immediate removal/termination without refund (§14.2).
5.3 Moderation. We may remove content or restrict access to protect members and the integrity of the community. See Appendix A for the Community Standards. Appeals: hello@membershipu.com within 7 days.
6) Content & Intellectual Property
6.1 Provider IP. All training materials, event recordings, documentation, and other content are owned by Provider or its licensors.
6.2 License to Member. Subject to these Terms and timely payment, we grant you a personal, nonâexclusive, nonâtransferable, nonâsublicensable license to access and use content during your active membership. You may not share, resell, publicly display, or create derivative works without written permission.
6.3 Member Content. You grant Provider a worldwide, royaltyâfree license to host, display, and transform your posts and contributions in the community for the purpose of operating the Services. You represent you own or have rights to your contributions.
6.4 DMCA/NoticeâandâTakedown. Report alleged infringement to: hello@membershipu.com. We may remove content and terminate repeat infringers.
7) Events (Live & OnâDemand)
7.1 Registration. Event access is for registered Members; transfers require our consent.
7.2 Recording & Consent. Events (including chat) may be recorded. By attending, you consent to recording and grant us the right to use the recordings for replays and program promotion. If you do not consent, keep camera/mic off and refrain from chat.
7.3 Conduct. Event participation is subject to the Community Standards (Appendix A).
7.4 Schedule Changes & Force Majeure. We may reschedule or substitute speakers. If we cancel without rescheduling and charged a fee to register, we will provide a reasonable remedy (credit or refund) as required by law.
8) Fees, Billing, AutoâRenewal & Cancellations
8.1 Pricing & Taxes. Membership fees and annual billing intervals are shown at checkout and may include applicable taxes.
8.2 AutoâRenewal. Membership autoârenews at the end of each billing cycle at the thenâcurrent rate unless canceled per §8.4. Preâpurchase disclosures of the renewal term, price, frequency, and cancellation method are provided before you submit payment.
8.3 Consent & Records. You authorize recurring charges until you cancel. We maintain records of your express consent as required by law.
8.4 Cancellation (Easy Online). You may cancel anytime via Account ⸠Manage Subscription ⸠Cancel. Cancellation takes effect at the end of the current membership term.
8.5 Renewal Reminders & Notices. For annual terms, we send a renewal reminder 15–45 days before renewal. We also send advance notice of price increases and other material changes as required.
8.6 Refunds. Membership fees are nonârefundable once the billing period starts. We offer a 7âday goodwill refund from the initial purchase (not renewals), unless required otherwise by law. Statutory rights (e.g., EU/UK coolingâoff; see §9) are unaffected. No refunds for removals due to ineligibility (§2.1) or violations (§5.2, §14.2).
9) Consumer Rights (EU/UK & Other Jurisdictions)
9.1 CoolingâOff (EU/UK). If you are an EU/UK consumer, you may cancel an online membership purchase within 14 days of purchase. If you request immediate access to digital services and acknowledge loss of the withdrawal right, your right to withdraw may not apply to the portion supplied. We provide compliant disclosures and acknowledgments during checkout.
9.2 Checkout Disclosure (Immediate Access Waiver). By clicking “Complete Purchase,” you request immediate access to the membership services and acknowledge that you will lose your right of withdrawal once full performance of the digital content/service has begun.
9.3 Mandatory Laws. Nothing in these Terms limits any nonâwaivable consumer rights under applicable law. Where local law requires different cancellation, refund, or dispute options, those prevail. See Appendix B for the Model Cancellation Form.
10) Trials, Promotions & Beta
We currently do not offer free trials. Promotional terms apply as stated at the time of the offer and may not be combined unless we say so.
11) Privacy & Communications
11.1 Privacy. Our processing of personal data is described in the Privacy Policy (incorporated by reference). For crossâborder transfers, we rely on appropriate mechanisms (e.g., SCCs) where required.
11.2 Operational Emails. By joining, you consent to receive transactional messages (receipts, reminders, product updates). You can manage marketing preferences at any time.
12) Accessibility
We strive to make Services accessible. Contact hello@membershipu.com at least 7 days before an event for accommodations (e.g., live captions).
13) Warranties & Disclaimers
The Services are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and nonâinfringement. The Services provide education, not professional advice.
14) Term, Suspension & Termination
14.1 By You. You may cancel per §8.4.
14.2 By Us (For Cause). We may suspend or terminate access immediately for violations of these Terms (including Community Standards) or unlawful conduct. No refunds are provided for terminations for cause.
14.3 Survival. Provisions that by their nature should survive (IP, fees due, disclaimers, liability limits, dispute resolution) survive termination.
15) Limitation of Liability
To the maximum extent permitted by law, our aggregate liability for all claims relating to the Services shall not exceed the amounts you paid to us in the 12 months preceding the event giving rise to liability. We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Some jurisdictions do not allow certain limitations; in such cases, the limitation applies to the fullest extent permitted.
16) Changes to Terms
We may modify these Terms by posting an updated version with the “Last Updated” date. Material changes will be notified by email or inâproduct. Changes apply on the next renewal or 30 days after notice, whichever is later. Continued use after the effective date constitutes acceptance.
17) Dispute Resolution; Governing Law; Venue (Hybrid Global Model)
17.1 Informal Resolution. Before filing a claim, the parties agree to attempt informal resolution for 30 days by contacting hello@membershipu.com.
17.2 U.S. & Canada Arbitration. If you reside in the U.S. or Canada, any dispute will be resolved by binding arbitration administered by JAMS under its Consumer Arbitration Rules. The seat/venue is Richmond, Virginia, unless the rules permit a virtual or consumerâfriendly location. Either party may bring a claim in small claims court. Class actions and jury trials are waived to the extent permitted by law.
17.3 30âDay OptâOut. You may opt out of arbitration within 30 days of first acceptance by emailing [legal@provider.com] with the subject “Arbitration OptâOut,” your name, and the email tied to your account.
17.4 NonâU.S. Consumers; Mandatory Rights. If you reside outside the U.S./Canada where consumer laws require disputes be heard in your local courts, you may bring your claim in those courts; nothing here limits mandatory consumer rights.
17.5 Injunctive Relief. Either party may seek injunctive or equitable relief (including IP protection) in any court of competent jurisdiction.
17.6 Governing Law. These Terms are governed by the laws of the Commonwealth of Virginia, USA, excluding its conflictâofâlaws principles, except that mandatory consumer protection laws of your residence may apply.
